Acceptance of Terms

By accessing the HolonomiX website (holonomx.com) and services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our services. These terms constitute the entire legal agreement between you and Tigantic Holdings LLC regarding your use of HolonomiX services.

Description of Service

HolonomiX provides enterprise SaaS products and services for tensor-train decomposition, structural data compression, and computational optimization. Our current primary product offerings include:

• HX-SDP (HolonomiX Structured Data Platform): A distributed compression and querying platform for enterprise data.
• Canonical Data Atlas: An empirical evidence framework for evaluating QTT compression across computational workloads.
• Custom Consultation: Technical consulting and integration services tailored to your organization's needs.

Service specifications, features, and availability are subject to change at our discretion. We will provide reasonable notice of material changes to service functionality.

License Grant and Use Restrictions

Subject to your compliance with these Terms, Tigantic Holdings LLC grants you a limited, non-exclusive, non-transferable, and revocable license to access and use our website and services for your internal business purposes. You may not:

• Reproduce, modify, or create derivative works from our services, documentation, or technology without written authorization.
• Reverse engineer, decompile, or attempt to discover the source code or underlying algorithms, except as permitted by applicable law.
• Use our services to develop competing products or technologies.
• Sublicense, rent, lease, or sell access to our services to third parties.
• Access or search our services by any means other than our publicly supported interfaces.
• Transmit viruses, malware, or code of destructive nature.
• Interfere with or disrupt the integrity or performance of our services.

Intellectual Property Rights

All content on the HolonomiX website, including text, graphics, logos, images, code, algorithms, and software, is the exclusive property of Tigantic Holdings LLC or its content providers and is protected by international copyright, patent, and intellectual property laws.

HolonomiX Technology: Our tensor-train decomposition technology, QTT compression algorithms, and the Canonical Data Atlas are proprietary intellectual property. Use, reproduction, or commercial exploitation of these assets is strictly prohibited without a valid license agreement.

Your Content: By submitting information through our contact forms or services, you grant Tigantic Holdings LLC a non-exclusive, royalty-free license to use, reproduce, and analyze such information for service improvement, research, and technical optimization. We will not use your confidential business data outside the scope permitted by your service agreement.

Disclaimers and Warranties

AS-IS SERVICE: HolonomiX services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied. We disclaim all warranties including merchantability, fitness for a particular purpose, and non-infringement.

Performance: While we strive for high performance and reliability, we do not warrant that services will be uninterrupted, error-free, or that they will produce specific results. Performance characteristics including compression ratios, execution speed, and memory utilization depend on your specific workload characteristics and are not guaranteed.

Security: While we implement industry-standard security measures, we cannot guarantee absolute security of data transmission or storage. You are responsible for maintaining the confidentiality of any access credentials provided.

Limitation of Liability

MAXIMUM LIABILITY: To the fullest extent permitted by applicable law, Tigantic Holdings LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profit, revenue, data, or business opportunity, arising from or related to your use of HolonomiX services, even if advised of the possibility of such damages.

TOTAL LIABILITY CAP: In no event shall the total aggregate liability of Tigantic Holdings LLC arising from these Terms or your use of services exceed the amount paid by you for services in the twelve (12) months preceding the claim, or $100 USD if no payment has been made.

These limitations apply regardless of the legal theory (contract, tort, strict liability, or otherwise) upon which the claim is based.

Indemnification

You agree to indemnify, defend, and hold harmless Tigantic Holdings LLC, its officers, directors, employees, agents, and successors from and against all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your violation of these Terms; (b) your misuse of HolonomiX services; (c) your infringement of third-party rights; or (d) data you transmit through our services.

Termination of Service

We may terminate or suspend your access to HolonomiX services immediately, without notice or liability, if: (a) you violate these Terms or any applicable agreement; (b) you engage in unauthorized access or misuse; (c) we believe termination is necessary to prevent harm or legal liability; or (d) your account remains inactive for an extended period as defined in your service agreement.

Upon termination, your license to use our services ceases immediately. Sections covering indemnification, limitation of liability, intellectual property, and governing law survive termination.

Modifications to Terms

Tigantic Holdings LLC reserves the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to the website, and the effective date will be updated accordingly. Your continued use of HolonomiX services following publication of modified terms constitutes your acceptance of the changes. For material modifications that negatively affect your rights, we will provide thirty (30) days' notice.

Governing Law and Jurisdiction

These Terms of Service are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any legal proceeding or dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.

By using HolonomiX services, you consent to the personal jurisdiction of these courts and waive any objection to venue or claim of inconvenient forum.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if not possible, shall be severed. The remaining provisions shall continue in full force and effect.
